The Hong Kong Securities and Futures Commission has published conclusions to its March 2025 consultation and will proceed with amendments strengthening its tools for initial public offerings and post-listing matters, subject to minor refinements. The changes are intended to support earlier, more targeted intervention while reducing reliance on listing objections and trading suspensions. Subject to the legislative process, the amended rules are expected to take effect in the first quarter of 2027. The amendments clarify that conditions imposed on listing applicants may continue after listing and allow the regulator to impose conditions on listed issuers where statutory grounds are met, providing a proportionate alternative to immediate suspension. They also enable the regulator to withdraw an objection so an original listing application can proceed, request information from listed issuers, amend or revoke conditions and streamline trading resumption procedures. Automatic exemptions for pre-emptive pro rata issuances and employee share option scheme issuances will be removed to permit intervention in exceptional cases involving serious investor protection concerns. Decisions on conditions, trading suspensions, resumptions and listing cancellations will become subject to full merits review by the Securities and Futures Appeals Tribunal. The rule amendments and related legislative changes will be gazetted and tabled before the Legislative Council for negative vetting.
